Restructuring Steps for SCB Group's Shareholding and Listing of SCB X (SCBx) on the Stock Exchange of Thailand, replacing shares of Siam Commercial Bank (SCB)

  • On November 15, 2021, an Extraordinary General Meeting (EGM) was held to approve the restructuring of the business group by allowing the exchange of shares from "SCB" to "SCBx" and listing "SCBx" on the stock exchange in place of Siam Commercial Bank "SCB".
  • From January to February 2022, shareholders accepted the Tender Offer from SCBx (1 SCB share for 1 SCBx share), with at least 90% of shareholders required to accept the offer.
  • In March 2022, "SCBx" was listed on the stock exchange (SET) and "SCB" shares were delisted on the same day.
  • In June 2022, SCB paid a dividend of 70 billion baht to "SCBx" for the following purposes:
  • To acquire certain businesses from the bank as part of the group's restructuring plan.
  • To invest in new ventures according to the group's plans.
  • To fund the operations of "SCBx".
  • To distribute dividends based on performance and group policy.

If more than 90% of shareholders accept the Tender Offer, those who do not will continue to hold shares of Siam Commercial Bank (SCB), which will be delisted from the stock exchange and will lose rights associated with being a publicly listed company on the Stock Exchange of Thailand.
