BRI Plans to Issue and Offer Bonds for the First Time in 2026, with Interest Rates [5.65 – 6.15]% through 14 Financial Institutions
Britania is preparing to issue and offer bonds for the first time in 2026, consisting of 2 series with a duration of 1 year and 9 months and 2 years and 9 months, with interest rates ranging from [ 5.65 – 6.15]% per annum through 14 financial institutions, available for subscription from May 5-7, 2026. The company has received a corporate credit rating and bond rating of “ BBB-” with a “ Stable” outlook from Tris Rating. It is preparing to transfer ownership of the Balco Bang Tao Beach project and will gradually recognize revenue starting from Q2/2026, while promoting a new real estate development plan focused on investment and the Wellness & Longevity trend.

Mr. Krit Techasamma, CEO of Britannia Public Company Limited (BRI), a leader in the development of housing projects under the concept of Crafted for Better Living, has announced that the company has submitted a bond offering information and draft prospectus to the Securities and Exchange Commission (SEC) to issue and offer long-term bonds, specifically named, non-subordinated, secured, with a bondholder representative, and the issuer has the right to redeem before the maturity date. The bonds being issued for the first time in 2026 consist of 2 series, paying interest every 3 months, including Series 1: BRI282A with a duration of 1 year and 9 months and a fixed interest rate of [5.65-5.85]% per annum, and Series 2: BRI292A with a duration of 2 years and 9 months and a fixed interest rate of [5.95-6.15]% per annum, secured by:
1) Vacant land located in Nonthaburi, Hua Hin, and Phuket, with a total appraised value of approximately 1,160 million baht and/or
2) Land and buildings located in Samut Prakan, with a total appraised value of approximately 301 million baht and/or
3) Commercial condominiums located in Bangkok, Nonthaburi, Samut Prakan, Chonburi, and Rayong, with a total appraised value of approximately 108 million baht.
The appraised value of the real estate used as collateral must have a ratio to the realizable value of not less than 1.20 : 1.00. The bonds will be issued and offered between May 5 - 7, 2026, through 14 financial institutions.

The bonds are issued at 1,000 baht per unit, with a minimum subscription of 100 units or 100,000 baht, and can be multiplied in increments of 100 units or 100,000 baht, with no limit on the total subscription value for each subscriber.
The purpose of this new bond issuance is to repay other debts and/or settle debts within the corporate group and/or refinance debts from bond issuance (Roll Over) within May 2026. The company has received a corporate credit rating of “BBB-” with a “Stable” outlook and a bond rating of non-subordinated, secured bonds with a bondholder representative of “BBB-” with a “Stable” outlook from Tris Rating as of March 31, 2026.

The company plans to develop housing projects focusing on Wellness to meet the growing emphasis on quality of life and longevity, alongside launching new project formats that accommodate both residential and business needs in the same area through the Brilliant brand. Additionally, there are plans to develop real estate for investment for investors looking to capitalize on rental income opportunities from the growing rental market. Furthermore, in Q2/2026, the company is preparing to gradually recognize revenue from the transfer of ownership of the Balco Bang Tao Beach project, valued at over 1,350 million baht. In 2026, Britannia aims for sales of 5,000 million baht, revenue of 3,400 million baht, and ownership transfers of 4,000 million baht (including projects developed by the company and joint ventures).
