WHART Trust Set to Offer Additional Units for Sale, Subscription Price Not Exceeding 10 Baht/Unit for Existing Unitholders from Nov 7-11 and General Investors from Nov 15-18
WHA Premium Growth Real Estate Investment Trust ("WHART") is set to launch the sale of additional units, signaling existing unitholders to prepare for subscription rights from November 7-11, at a ratio of 1 existing unit for 0.0609 new units. Meanwhile, the general public can subscribe from November 15-18, with a maximum offering price not exceeding 10 Baht per unit to invest in 5 projects totaling no more than 4,050.86 million Baht. After the capital increase, the portfolio is expected to reach 51,956.40 million Baht, making it the largest industrial trust in Thailand.
Mr. Anuwat Jarukornsakul, CEO of WHA Real Estate Management Co., Ltd., as the manager of WHART, revealed that the trust is preparing to offer additional units to existing unitholders from November 7-11 at a ratio of 1 existing unit for 0.0609 new units, while the general public can subscribe from November 15-18 at a maximum price of 10 Baht per unit.

The final offering price will be announced again via the Stock Exchange of Thailand's website.
This capital increase for WHART will involve additional investments in 5 core projects of WHA Group, totaling no more than 4,050.86 million Baht. After the investment is completed, expected by the end of 2022, WHART's total asset value will exceed 51,956.40 million Baht, with managed rental space increasing to 1,743,696.80 square meters, parking space of 32,650.19 square meters, and rooftop rental space of 450,777.29 square meters. This will reinforce its position as the largest industrial trust in Thailand, distinguished by assets located in strategic logistics points and a diverse tenant base under long-term lease agreements. This additional investment in core assets will also contribute to stable and sustainable income growth for the trust, providing consistent returns for unitholders.
The additional investment will cover 5 projects with a total rental area of approximately 159,963 square meters, including:
1. WHA Mega Logistics Center Bangna-Trad Km. 23 Project 3 located in Bang Sao Thong District, Samut Prakan Province.
2. WHA Signod Factory located in Si Racha District, Chonburi Province.
3. WHA Mega Logistics Center Theparak Km. 21 located in Bang Sao Thong District, Samut Prakan Province.
4. WHA-KPN Mega Logistics Center Bangna-Trad Km. 23 Project 2 located in Bang Sao Thong District, Samut Prakan Province.
5. WHA Central Mega Logistics Center Wang Noi 63 located in Wang Noi District, Phra Nakhon Si Ayutthaya Province.
"The built-to-suit warehouses are designed to meet customer needs and effectively address operational requirements. Typically, tenants of such warehouses and factories enter into long-term lease agreements, ensuring WHART's stability and continuous customer base, including leading companies like CRC Thai Watsadu Co., Kerry Logistics (Thailand) Co., and DKSH (Thailand) Co."
Mr. Sawit Srisaranpong, Executive of Investment Banking at Kasikorn Bank, as the financial advisor and manager for the distribution of WHART units, stated that the bank is opening subscriptions for existing unitholders from November 7-11 and for the general public from November 15-18. He is confident of a positive response from investors due to WHART's leadership in the warehouse and industrial trust sector, with stable income from long-term lease agreements, complemented by investments in built-to-suit warehouses and top-tier tenants in continuously growing businesses.
The additional investment in these 5 projects will strengthen WHART, with an estimated distribution per unit to unitholders after the 8th additional investment of 0.80 Baht per unit for the period from January 1, 2023, to December 31, 2023, an increase from the estimated distribution from existing assets of WHART for the same accounting period, which is 0.78 Baht per unit.
