THANA has announced the resolution from the Extraordinary General Meeting of Shareholders No. 1/2022, along with the allocation of common shares through a capital increase, registering 25 million shares to support the acquisition of new land, enhance the company's cash flow, and aim for business expansion in both new project development and differentiated after-sales services under the concept of “THANA SIRI, We Take Care”.

Mr. Sutthirak Sateeraphapuyuth, Chief Executive Officer of Thanasiri Group Public Company Limited (THANA), a real estate operator listed on the MAI stock exchange, explained the Extraordinary General Meeting of Shareholders No. 1/2022 held on September 23, where the company presented to shareholders for consideration regarding the increase of registered capital from the previous registered capital of 253,212,000 Baht to a new registered capital of 278,533,200 Baht by issuing and offering 25,321,200 new common shares at a par value of 1 Baht each.

“The purpose of the company's capital increase is to provide funds for land acquisition and business expansion, including investments in new project development in 2023 and focusing on creating differentiated after-sales services under the concept of 'THANA SIRI, We Take Care.' This will also enhance our competitive capabilities and restructure our capital to be more potent, manage risks, and improve liquidity in the business, thereby strengthening cash flow stability and the company's financial position. Furthermore, as the company's financial status improves and profitability potential increases, it will lead to better future performance, benefiting shareholders from the subsequent increase in business value,”


This is a significant testament for THANA in managing organizational flexibility to cope with emerging situations. However, in addition to the aforementioned capital increase, the company will allocate shares to existing shareholders proportionately, at a ratio of 10 existing common shares to 1 new common share (with any fractional shares being disregarded), at an offering price of 2.85 Baht. The record date for shareholders entitled to the allocation of new common shares is set for October 3, 2022, and the subscription period for the new common shares will be from October 31 to November 4, 2022.
